These terms govern your use of PositionMgr (the "Service"). By creating an account or using the Service you agree to them.
What PositionMgr is — and isn't
PositionMgr is portfolio- and trade-management software: it helps you plan, size, record, reconcile, and review your own trading.
Not investment advice. PositionMgr is not a broker-dealer, investment adviser, or fiduciary. Nothing in the Service — numbers, analytics, alerts, or any other output — is a recommendation to buy or sell anything. Every trading decision, and every outcome of every trading decision, is yours.
Your account
- Provide accurate information and keep your sign-in credentials secure. You are responsible for activity under your account.
- Workspace administrators may invite additional users; each invited user is bound by these terms.
- You must be at least 18 to use the Service.
Brokerage connections and imported data
- Brokerage connections are made read-only through a third-party aggregation partner, authorized by you at the partner's own portal. Your brokerage credentials never pass through the Service.
- Imported data depends on your broker and the aggregation partner. It can be delayed, incomplete, or wrong at the source. The Service exists to help you catch such discrepancies — but your broker's records are the authoritative record of your accounts, and you are responsible for verifying against them.
- Your brokerage relationships are between you and your broker. We are not a party to them.
Market data
Prices and market information in the Service are for your information only, may be delayed, and come with no warranty of accuracy or availability.
Acceptable use
Don't misuse the Service: no unauthorized access, probing, or disruption; no reselling, sublicensing, or providing the Service to third parties; no scraping, crawling, or bulk extraction of anything that isn't your own data; no automated access except through interfaces we publish for that purpose.
Our methods
The way the Service sizes positions, proposes hedges, judges risk, and grades trades — including its rules, thresholds, explanations, and the outputs they produce — is our proprietary method and a trade secret. You agree not to reverse engineer, decompile, or otherwise attempt to derive the source code or the method from the Service; not to copy, reproduce, or create derivative works from it; not to use the Service, its outputs, or its explanations to build, train, or calibrate a competing product or model; and not to remove or obscure any proprietary notice. These restrictions apply only to the extent the law allows us to impose them, and never restrict your use of your own data.
Fees
The Service is currently in a private pilot. Paid subscription plans, when introduced, will be presented with their prices before you are charged, and continued use of paid features will require an active subscription.
Your data and our software
- Your data is yours. You grant us the license needed to host and process it solely to provide the Service. You can export it or have it deleted — see the Privacy Policy.
- The Service, its software, its methods, and the PositionMgr™ mark belong to us. These terms grant you use, not ownership.
Disclaimers and limits
- The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose and uninterrupted availability.
- We are not liable for trading losses. To the maximum extent the law allows, our total liability arising from the Service is limited to the amount you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages.
Termination
You may stop using the Service and close your account at any time. We may suspend or terminate accounts that violate these terms or threaten the Service's security. On closure, you may request an export of your data.
Changes
We may update these terms; material changes will be posted here with a new effective date, and continued use after that constitutes acceptance.
Governing law
These terms are governed by the laws of the United States and the state in which we are organized, without regard to conflict-of-law rules.
